In this regard, the expression piercing the corporate veil is related to the situation where the court may look behind the distinct legal personality of a corporation (Birds, 2007). Therefore in such a case, the court looks beyond the individual personality of the corporation for imposing a liability, right or duty to a member of the company even when the strict application of the doctrine of separate legal identity will result in vesting the right or the liability only in the company. In this way, according to the doctrine of lifting the corporate veil, the court explores the possibility of looking behind the framework of the company (or behind the distinct legal identity of a company) for the purpose of making the members of the company liable. This takes place as an exception to the general rule according to which, the members of the company cannot be held individually responsible for the debts of the corporation (Bourne, 2008). In the present case also, the Scallop Fishing and Marketing Act provides for a quota system according to which a person has to apply for a quota and then catch 50 tonnes of scallops in a single year. On the other hand, Bob Bleech has the capacity to catch more than 50 tons of scallops and at the same time, he also wants to make more money. Under these circumstances, his daughter Alice tells him that if he can incorporate a company, he will be able to double the quota of scallops. The reason is that as the negligence of the employees of Nuclear Blast Sounds Pty Ltd, five members of the audience suffered permanent hearing loss. At the same time, Nuclear Blast Sounds Pty Ltd does not have any negligence insurance and similarly, the company is not in a position to pay the damages claims. As in Smith, Stone Knight v Birmingham Corporation (1939), the court was in favour of lifting the veil and holding the parent company liable. In this case, the court recognised an exception to Salomon's principle. The subsidiary company was considered by the court to be carrying on the business of the parent company. In such a case, the issue arises if the persons controlling the two companies can be considered as the head and brain of the venture with the help of the concept of effective and constant control over the business. Therefore, the court stated that in order to identify the agency relationship between the two companies, it is required that the parent company should have more than mere control over its subsidiary. The result was that the court arrived at the conclusion in Adams v Cape Industries (1990) that although sometimes, the group of companies can be considered as a single economic units but to enforce the liability of the subsidiary company on the parent company, it is required that the subsidiary company should be completely under the control of the parent company. Under these circumstances, it can be inferred that the principal provided by the court in Salomon's case implies in such a situation that the single economic unit will have to be considered as having a single identity in the eyes of law when no artificial separation is present between the various legal entities of the group (French et al., 2008). In this case also, If it can be said that New Nirvana Ltd had complete and total control over the activities of, Nuclear Blast Sounds Pty Ltd, only then the liabilities of Nuclear Blast Sounds Pty Ltd can be enforced against New Nirvana Ltd and the five members of the audience have suffered injuries as a result of the negligence of Nuclear Blast Sounds Pty Ltd can be allowed to bring a claim against New Nirvana Ltd. 3. The present case, it has been stated in the articles of Millennium Pty Ltd that Don will act as companys solicitor for any land purchases or sales. However after several years, Simon and Michael met another solicitor who was more efficient than Don, according to them. Therefore they appoint the new person as the solicitor of Millennium Pty Ltd. under the circumstances, the issue arises if Don can enforce the article according to which, he will remain the solicitor of the company. Battle of Short Hills in the American Revolution Battle of Short Hills - Conflict Date: The Battle of Short Hills was fought June 26, 1777, during the American Revolution (1775-1783).   Ã‚   Armies Commanders: Americans General George WashingtonMajor General William Alexander, Lord Stirlingapprox. 2,500 men British General Sir William HoweLieutenant General Lord Charles CornwallisMajor General John Vaughanapprox. 11,000 men Battle of Short Hills - Background: Having been expelled from Boston in March 1776, General Sir William Howe descended on New York City that summer.   Defeating General George Washingtons forces at Long Island in late August, he then landed on Manhattan where he suffered a setback at Harlem Heights in September.   Recovering, Howe succeeded in driving American forces from the area after winning victories at White Plains and Fort Washington.   Retreating across New Jersey, Washingtons beaten army crossed the Delaware into Pennsylvania before halting to regroup.   Recovering late in the year, the Americans struck back on December 26 with a triumph at Trenton before achieving a second victory a short time later at Princeton. With winter setting in, Washington moved his army to Morristown, NJ and entered winter quarters.   Howe did the same and the British established themselves around New Brunswick.   As the winter months progressed, Howe commenced planning for a campaign against the American capital at Philadelphia while American and British troops routinely skirmished in the territory between the encampments.   In late March, Washington ordered Major General Benjamin Lincoln to take 500 men south to Bound Brook with the goal of collecting intelligence and protecting farmers in the area.   On April 13, Lincoln was attacked by Lieutenant General Lord Charles Cornwallis and forced to retreat.   In an effort to better assess British intentions, Washington moved his army to a new encampment at Middlebrook. Battle of Short Hills - Howes Plan: A strong position, the encampment was situated on the south slopes of the first ridge of the Watchung Mountains.   From the heights, the Washington could observe British movements on the plains below which stretched back to Staten Island.   Unwilling to assault the Americans while they held the high ground, Howe sought to lure them down to the plains below.   On June 14, he marched his army Somerset Courthouse (Millstone) on the Millstone River.   Only eight miles from Middlebrook he hoped to entice Washington to attack.   As the Americans showed no inclination to strike, Howe withdrew after five days and moved back to New Brunswick.   Once there, he elected to evacuate the town and shifted his command to Perth Amboy. Believing the British to be abandoning New Jersey in preparation for moving against Philadelphia by sea, Washington ordered Major General William Alexander, Lord Stirling to march towards Perth Amboy with 2,500 men while the rest of the army descended the heights to a new position near Samptown (South Plainfield) and Quibbletown (Piscataway).   Washington hoped that Stirling could harass the British rear while also covering the armys left flank.   Advancing, Stirlings command assumed a line in the vicinity of Short Hills and Ash Swamp (Plainfield and Scotch Plains).   Alerted to these movements by an American deserter, Howe reversed his march late on June 25.   Moving quickly with around 11,000 men, he sought to crush Stirling and prevent Washington from regaining a position in the mountains. Battle of Short Hills - Howe Strikes: For the attack, Howe directed two columns, one led by Cornwallis and the other by Major General John Vaughan, to move through Woodbridge and Bonhampton respectively.   Cornwallis right wing was detected around 6:00 AM on June 26 and clashed with a detachment of 150 riflemen from Colonel Daniel Morgans Provisional Rifle Corps.   Fighting ensued near Strawberry Hill where Captain Patrick Fergusons men, armed with new breech-loading rifles, were able to force the Americans to withdraw up Oak Tree Road.   Alerted to the threat, Stirling ordered reinforcements led by  Brigadier General Thomas Conway forward.   Hearing the firing from these first encounters, Washington ordered the bulk of the army to move back to Middlebrook while relying on Stirlings men to slow the British advance. Battle of Short Hills - Fighting for Time: Around 8:30 AM, Conways men engaged the enemy near the intersection of Oak Tree and Plainfield Roads.   Though offering tenacious resistance that included hand-to-hand fighting, Conways troops were driven back.   As the Americans retreated approximately a mile toward the Short Hills, Cornwallis pushed on and united with Vaughan and Howe at Oak Tree Junction.   To the north, Stirling formed a defensive line near Ash Swamp.   Backed by artillery, his 1,798 men resisted the British advance for around two hours allowing Washington time to regain the heights.   Fighting swirled around the American guns and three were lost to the enemy.   As the battle raged, Stirlings horse was killed and his men were driven back to a line in Ash Swamp. Badly outnumbered, the Americans were ultimately forced to retreat towards Westfield.   Moving quickly to avoid the British pursuit, Stirling led his troops back to the mountains to rejoin Washington.   Halting in Westfield due to the heat of the day, the British looted the town and desecrated the Westfield Meeting House.   Later in the day Howe reconnoitered Washingtons lines and concluded that they were too strong to attack.   After spending the night in Westfield, he moved his army back to Perth Amboy and by June 30 had fully departed New Jersey. Battle of Short Hills - Aftermath: In the fighting at the Battle of Short Hills the British admitted to 5 killed and 30 wounded.   American losses are not known with accuracy but British claims numbered 100 killed and wounded as well as around 70 captured.   Though a tactical defeat for the Continental Army, the Battle of Short Hills proved a successful delaying action in that Stirlings resistance allowed Washington to shift his forces back to the protection of Middlebrook.   As such, it prevented Howe from executing his plan to cut the Americans off from the mountains and defeat them in open ground.   Departing New Jersey, Howe opened his campaign against Philadelphia late that summer.   The two armies would clash at Brandywine on September 11 with Howe winning the day and capturing Philadelphia a short time later.   A subsequent American attack at Germantown failed and Washington moved his army into winter quarters at Valley Forge on December 19. The Beast Within Throughout human history, there have been a many of stories and tales that has told of fearsome monsters. Some of these monsters fictional in nature, some of them lurking in the darkest corners of the world, where only the brave travel. The monster Im speaking of in this case is neither of previous mentioned. Its something that for many of us, is very close to home and and even closer to the hearts of the American people along with its history. The monster Ill be reviewing here is one that human kind is coined for inventing. The gun is one of our modern monster that our society has, in more recent years, has red flagged. This wasnt always the case though. Most people typically credit the Chinese with the first invention of the gun in the 10th century. They were made out of bamboo or steel tubes that shot flames and shrapnel at its targets. After the invention of what they called a fire lance, the technology spread across hemispheres. It eventually reached the west, where we took the baton and ran far; and I mean really far. What has changed since the invention of guns? Besides the obvious notion that the landscape of gun technology has vastly evolved, the world around guns has also vastly changed. The culture of nations of all have worked to adapt to the changing environment. This goes along with why people themselves continue to live in their daily lives. On the outside looking in, the world can seem like a lot less stressful of a place to live. Stress is not a new thing for humans but it does come in varying ways. Every individual is different and has a certain way to do things. The world has transformed into a mecca for production and industrialization, and with that comes a tremendous amount of labor. When its a struggle to live in a world thats moving so quick, it can difficult to acquire some of the basic necessities. For example, according to an article posted by enterprise community.com, â€Å"This â€Å"housing wage† of $22.10 is nearly $15.00 higher than the federal minimum wage of $7 .25 per hour. According to the annual report, a renter earning the federal minimum wage would need to work 99 hours per week to afford a one-bedroom rental home priced at the national average Fair Market Rent (FMR) and 122 hours per week – that is, three full-time jobs – to afford a two-bedroom.† By no means are these statistic trying to completely justify the rate of gun violence in America, or anywhere for that matter! This is to only to give a slight glimpse into the eyes of a someone who has snapped under the pressures of life. Stress in this case could be viewed as the precipitating cause. In this way we can also correlate this to the monster being a cultural body. The monster being guns of course. The perception of guns has changed drastically in the last century or solely due to media and current events that people tend to directly to guns. Changing views on guns has arisen due to peoples moral codes changing with the times at hand. Reacting to the the emotional uproars of the media and politicians who love to use media to push personal agendas. This has inadvertently turned a once hero to the now demonized and taboo ownership of guns. Who is to blame, guns or the person holding the gun. The gun is only as powerful as the intentions laid onto it by its wielder. As weve gone over numerous times in class, there are tons of scary humans that have spent time here with us on earth, particularly serial killers. Some of the most dangerous individuals to live on earth did not even use guns to kill or harm their victims. Ted Bundy, one of Americas most famous and dangerous serial killers never once used on gun on his victims. Many other serial killers will show you the same truth; if someone wants to cause harm to someone else, they definitely dont need a gun to do the dirty work. As the Joker from the movie The Dark Knight once said, â€Å"Do you want to know why I use a knife? Guns are too quick. You cant savor all the little emotions. In you see, in their last moments, people show you who they really are.† Though our history, guns have always been used for protection, a means for hunting and even as a means to show off technological dominance. Nowadays for many people, its is a symbol of destruction, death and disorder. Most of these preconceptions of guns comes for their use by street gangs or mass shootings here in America. In this paper I aught to provide information and reasoning on why people currently see guns as on of our modern monsters. If death is ultimately what people are afraid of dont look at the gun in hand or you might miss whos pulling the trigger. If you take away guns to try solving the violence in America, or again anywhere else for that matter, the real monster will always escape. That is to say, the beast within. Set the apparatus up as was done in the experiment investigating concentration change. However, this time use a heating plate rather than a magnetic stirrer so that temperature can be adjusted. 2. Mix 5cm3 of potassium bromate(V) solution, 5cm3 of sulphuric acid solution and 5cm3 of phenol solution in a boiling tube and add 4 drops of methyl orange indicator. 3. Add 5cm3 of potassium bromide to a separate boiling tube. 4. Fill a large beaker with water and place it on top of the heating plate and set it to the required temperature. To achieve cooler temperatures put ice cubes into the beaker and monitor the temperature using a thermometer. Place the boiling tubes containing the correct solutions in the water bath so that they are also heated or cooled to this temperature. 5. Mix the two solutions and start the stopwatch. Record the time taken for the solution to go colourless. Ensure that the temperature of the water is kept constant. This can be done by having a thermometer in the beaker. Although the higher temperatures should be easily maintained by the heating apparatus, lower temperatures must be kept constant by adding more ice cubes if required. 6. Repeat 5 times with each temperature to ensure accurate and fair results. Reaction rate is worked out using the following equation: Reaction Rate = 1 Time This is presented in Graph 2. Graph 2 has a line of best fit which is a straight diagonal line, rather than a curve. It also shows that there is a positive correlation between concentration and reaction rate, as when concentration of potassium bromate(V) is increased, reaction rate increases. I could draw the line of best through the origin at point (0,0) as I know that if the concentration is 0M then the reaction will not occur the reaction rate will be 0seconds-1 (this can be applied to all other graphs of concentration against reaction rate that I have drawn). I decided to draw the majority of my graphs using a computer to plot the axes and points, and drawing the line or curve of best fit by hand. The computer can provide better accuracy than I can as far as drawing the axes and plotting the points is concerned. However, I believe that I can provide more accuracy when drawing the line or curve of best fit. My line of best fit suggests that the reaction, with respect to potassium bromate(V), is first order. The Central Dogma of Molecular Biology was founded by Francis Crick in 1958. A central dogma of biology provides an explanation as to how gene expression occurs. The central dogma is the main thesis of molecular inheritance. It states that DNA makes RNA, which makes protein. Genes control the traits by controlling which proteins are made. The process of Central Dogma of Molecular Biology is when DNA transcripts into RNA and then translates into protein. Transcription is the transfer of genetic information from DNA forming into RNA.The differences between DNA and RNA are the sugar that’s in DNA which is called deoxyribose and ribose for RNA which does not have sugar. When DNA replication begins, it begins at a specific point in the DNA molecule called the origin of replication site. The enzyme helicase unwinds and separates a portion of the DNA molecule. After the DNA polymerase separates a portion of the molecule it then initiates the process of replication in which DNA polyme rase can add new nucleotides to a pre-existing chain of nucleotides.Therefore, replication begins as an enzyme called primase and it assembles an RNA primer at the origin of the replication site. The RNA primer consists of a sequence of RNA nucleotides, complementary to a section of the DNA strand that is being prepared for replication. The RNA primer is then removed and replaced with a sequence of DNA nucleotides. Then Okazaki fragments are synthesized and the RNA primers are replaced with DNA nucleotides and the individual Okzaki fragments are bonded together into a continuous complementary strand.During transcription deoxyribose nucleic acid is formed into another nucleic acid which is ribonucleic acid or RNA. Transcription begins when RNA polymerase binds onto the double stranded DNA molecule. RNA polymerase moves along the strand of DNA making a complementary single stranded RNA molecule. While that’s happening the amino acid that is being carried is also being transferred to the amino acid chain. After that is done the ribosomal complex falls apart and the protein is released into a cell.During protein synthesis, amino acids build a protein molecule that’s, of course, called protein synthesis. Synthesis means ‘putting together’, so that is a good way to remember protein synthesis. Protein synthesis is the cellular process of building proteins. Translation has a part of the central dogma that is also included in protein synthesis and transcription is not. Translation is just the decoding of RNA to make a chain of amino acids that will then, later, turn into protein. Overall in central dogma, DNA is simply the instructions to making proteins.
